Reed Sinopharm Agreement on Use of Network Services
1. Special Note
1.1 Reed Sinopharm Exhibitions Co., Ltd. agrees to provide Internet-based services (hereinafter referred to as “Network Services”) in accordance with the provisions of this Agreement and its operating rules issued from time to time. In order to obtain network services, service users (hereinafter referred to as “Users”) should agreed to all the terms of this Agreement and complete all registration procedures in accordance with the prompt on the page. When Users click the "submit" button during the course of the registration process, it means that the Users have already fully accepted all of the provisions under this Agreement.
2. Services
2.1 Specific Reed Sinopharm Services are provided by Reed Sinopharm according to the actual situation, e.g. messages, notices, etc. Reed Sinopharm reserves the rights to change, suspend or terminate some or all of the services at any time.
2.2 Reed Sinopharm may charge certain fees from some Users of Network Services in providing Network Services. In this case, Reed Sinopharm will make clear prompts in the relevant pages. If Users refuse to pay such fees, they can not use the relevant Network Services.
2.3 Reed Sinopharm only provides relevant Network Services, where equipments for access to relevant Network Services (such as computers, modems and other devices relating to access to the Internet) and the needed costs (such as phone charges and Internet access fees) should all be borne by the Users.
3. User rules
3.1 in applying for the use of Reed Sinopharm Network Services, Users must provide accurate personal data to Reed Sinopharm; if there are any changes of personal data, they must be updated in time.
3.2 After successful registration as a User, Reed Sinopharm will give each User a User an ID Account and the corresponding password, where Users are responsible for the custody of them; Users shall bear the legal responsibilities for all activities and events done with their respective Accounts.
3.3 Users must agree to accept the promotional goods information and other related business information sent by Reed Sinopharm to Users by e-mail or other means.
3.4 In the course of using Reed Sinopharm Network Services, Users must follow the following principles:
(a) Observe the relevant Chinese laws and regulations;
(b) Shall not use Network Service System for any unlawful purpose;
(c) Comply with all the network protocols, regulations and procedures relating to the Network Services;
(d) Never use Reed Sinopharm Network Service System to carry out any act which may adversely affect the normal operation of the Internet;
(e) Never use Reed Sinopharm Network Service System to transmit any of harassment, slander others, abusive, threatening, vulgar or obscene or any other illegal information and data;
(f) Never use Reed Sinopharm Network Service System to do any of the acts not conducive to Reed Sinopharm;
(g) In case of any illegal use of User Account or account security loopholes, immediately notice Reed Sinopharm.
3.5 If Users violate any of the above provisions in the use of Network Services, Reed Sinopharm and / or its authorized personnel shall have the right to request Users to correct or to directly take all necessary measures (including but not limited to change or deletion the content posted by Users, suspension or termination of Users right to the use of Network Services) so as to reduce the impact caused by the misconduct of the Users.
4. Content ownership
4.1 Network Services content provided by Reed Sinopharm may include: text, software, sound, pictures, video, charts, etc. All these contents are under the protection of copyright, trademark and other laws to protect ownership of property.
4.2 Users can use these contents only after they have received the authorization of Reed Sinopharm or other concerned obliged people, without copying or reproduction of these contents without authorization or the creation of derivative products relating to these contents.
5. Privacy
5.1 Users privacy protection is a basic policy of Reed Sinopharm. Reed Sinopharm promises not to disclose to the public or provide to any third party the registered information of Users or non-public content stored by Users in Reed Sinopharm in using Network Services, except in the following situations:
(a) Having obtained clear prior authorization of Users;
(b) According to the requirements of relevant laws and regulations;
(c) According to the requirements of the relevant government departments;
(d) For safeguarding the interests of the public;
(e) For safeguarding the legitimate rights and interests of Reed Sinopharm.
5.2 Reed Sinopharm may have cooperation with third parties to providing Users with relevant Network Services. In this case, if these third parties to bear the responsibility equivalent to that of Reed Sinopharm to protect the privacy of Users, Reed Sinopharm can provide User registration information, etc. to such third parties.
5.3 Under the premise not to disclose individual User privacy information, Reed Sinopharm is entitled to make analysis on the entire database of Users and make commercial use of the User database.
6. Disclaimer
6.1 Users explicitly agree that they entirely bear the risks in using Reed Sinopharm Network Services; they also bear all the consequences arising from the use of Reed Sinopharm Network Services, where Reed Sinopharm does not assume any responsibility for Users.
6.2 Reed Sinopharm does not warrant that the Network Services surely meet the Users demands, nor does it warrant that the Network Services will not be interrupted, nor does it guarantee the timeliness, security, and accuracy of the Network Services.
6.3 Reed Sinopharm does not guarantee the accuracy and completeness of the external link set up in order to facilitate Users and, meanwhile, Reed Sinopharm is not responsible for the content on any WebPages of such external links which are not under the actual control of Reed Sinopharm.
6.4 Reed Sinopharm Network is not responsible for Network Services interruption or other defects caused by force majeure or causes beyond the control of Reed Sinopharm, but it will reduce the resulting losses and the impact of Users.
7. Service changes and interruption or termination
7.1 if the Network Services needs to be suspended as a result of system maintenance or upgrade, Reed Sinopharm will make prior notice as far as possible.
7.2 If there are any of the following circumstances, Reed Sinopharm shall have the right to interrupt or terminate at any time Network Services provided to Users under this Agreement without notice to Users:
(a) Users provided false personal data;
(b) Users violation of use provisions stipulated in this Agreement.
7.3 In addition to the circumstances described in the preceding paragraph, Reed Sinopharm retains the right to interrupt or terminate some or all of the Network Services at any time without prior notice to Users, where Reed Sinopharm does not need to bear any liability for Users or any third party for any loss caused by any interruption or termination of the services.
8. Compensations
8.1 Users agree to protect and preserve the interests of Reed Sinopharm and other Users, where Users agree to bear liability for damage to Reed Sinopharm or any other third party resulting from Users violation of relevant laws, regulations or any of the provisions under this Agreement.
9. Amendment of Agreement
9.1 Reed Sinopharm shall have the right to amend the relevant provisions of this Agreement at any time; once there are changes in the contents of this Agreement, Reed Sinopharm will prompt Users of the modified contents by appropriate means.
9.2 If Users do not agree to the changes made by Reed Sinopharm in the relevant provisions of this Agreement, Users have the right to stop the use of Network Services. If Users continue to use the Network Services, it is deemed that Users have accepted the changes of the relevant provisions of this Agreement made by Reed Sinopharm.
10. Legal jurisdiction
10.1 the conclusion, implementation and interpretation of this Agreement and dispute settlement shall be subject to the laws of China.
10.2 In case of dispute arising between the both parties in regard to the contents of this Agreement or its implementation, both parties should subject to friendly consultations as far as possible for solutions; if no consultation is achieved, either party may lodge a complaint to the local people’s court in the location of Reed Sinopharm.
11. Notification and delivery
11.1 all the notification under this Agreement may be made by means of important page bulletin, e-mail or sending conventional letters; such notifications are deemed delivered to the recipients on the sending date.
12. Other provisions
12.1 This Agreement constitutes the integrity of the agreement between the two parties on the matter of this Agreement and other related matters, with the exception of the provisions of this Agreement, neither party is granted any other rights in regard to this Agreement.
12.2 If any of the terms of the agreement for whatever reason, in whole or in part would not be valid or enforceable, the remaining provisions of this Agreement shall be binding and effective.
12.3 The title of this Agreement is set for convenience only and shall be ignored in the interpretation of this Agreement.
